This Code of conduct (this Code) shall be called &#8220;The Code of Business Conduct &amp; Ethics for Board Members and Senior Management\nPersonnel of The Jute Corporation of India Limited (hereinafter referred to as &#8220;the Company&#8221;).<\/p>\n<p class=\"std-text\"><strong>INTRODUCTION<\/strong><br>\n2. The purpose of this Code is to enhance ethical and transparent process in managing the affairs of the Company.<\/p>\n<p class=\"std-text\">3. This Code for Board Members and Senior Management Personnel has been framed specially in compliance with\nthe Guidelines of Department of Public Enterprise (DPE).<\/p>\n<p class=\"std-text\">4. It shall come into force with effect from the 13th of September, 2011. 5. The term &#8220;Board Members&#8221; shall \nmean Directors on the Board of Directors of the Company.<\/p>\n<p class=\"std-text\"><strong>\nDEFINITIONS AND INTERPRETATIONS<\/strong><br>\n6. The term &#8220;Whole-time Directors&#8221; or &#8220;Functional Directors&#8221; shall be the Directors on the Board of Directors of the Company \nwho are in whole-time employment of the Company.<\/p>\n<p class=\"std-text\">7. The term &#8220;Part-time Directors&#8221; shall mean directors on the Board of Directors of the Company who are not \nin whole time employment of the Company.<\/p>\n<p class=\"std-text\">8. The term &#8220;Relative&#8221; shall have the same meaning as defined in Section-6 of the Companies Act, 1956.<\/p>\n<p class=\"std-text\">9. The term &#8220;Senior Management&#8221; shall mean personnel of the Company who are members of its core management\nteam excluding Board of Directors and would comprise all members of management at the level of managers and above.<\/p>\n<p class=\"std-text\">10. The term &#8220;the Company&#8221; shall mean The Jute Corporation of India Limited(JCI). Code of Business Coduct \nand Ethics  The Jute Corporation of India Limited <br> Note : In this Code, words importing the masculine gender shall include\nfeminine gender and words importing singular shall include the plural or viceversa.<\/p>\n<p class=\"std-text\">11. This code shall be applicable to the following personnel :<br>\n<strong>APPLICABILITY<\/strong><br>\na) All Whole-time Directors including the Chairman &amp; Managing Director of\nthe Company.<br>\nb) All Part-time Directors including Independent Directors under the\nprovisions of law.<br>\nc) Senior Management.\n<\/p>\n<p class=\"std-text\">\n12. The Whole-time Directors and Senior Management should continue to comply with other applicable\/to be applicable policies,\nrules and procedures of the Company.<\/p>\n<p class=\"std-text\">\n13. Contents of Code<br>\nPart I General Moral Imperatives<br>\nPart II Specific Professional Responsibilities<br>\nPart III Specific Additional Provisions for Board Members and Senior<br>\n<strong>Management<\/strong><br>\nThis code is intended to serve as a basis for ethical decision making in the conduct of professional work. It may also serve as\na basis for judging the merit of a formal complaint pertaining to violation of professional ethical standards. It is understood\nthat some words and phrases in the code of ethics and conduct document are subject to varying interpretations. In case of any\nconflict, the decision of the Board shall be final.<\/p>\n<p class=\"std-text\"><strong>Contribute to Society and Human well being.<\/strong><br>\n14. This principle concerning the quality of life of all people, affirms an obligation to protect fundamental human rights and\nto respect the diversity of all cultures. We must attempt to ensure that the products of our efforts will be used in socially \nresponsible ways, will meet social needs and will avoid harmful effects to health and welfare of others. In addition to a safe\nsocial environment, human well-being includes a safe natural environment. \n\n<strong>Code of Business Coduct and Ethics<\/strong><\/p>\n<p class=\"std-text\">15. Company\u2019s products, must be alert to, and make others aware of, both a legal and a moral responsibility  for the safety and the protection of human life and environment Be honest and trustworthy &amp; Practice Integrity<\/p>\n<p class=\"std-text\">16. Integrity and Honesty are essential components of trust. Without trust an organization cannot function effectively.<\/p>\n<p class=\"std-text\">17. All Board Members and Senior Management Personnel are expected to act in accordance with highest standards of personal and professional integrity, honesty and ethical conduct, while conducting company\u2019s business.<\/p>\n<p class=\"std-text\"> <strong>Be fair and take action not to discriminate.<\/strong><br>\n18. The value of equality, tolerance, respect for others, and the principles of equity and justice govern this imperative. \nDiscrimination, on the basis of race, sex, religion, caste, age, disability, national origins or other such factors, is an \nexplicit violation of this code. <\/p>\n<p class=\"std-text\"> <strong>Honor confidentiality<\/strong><br>\n19. The principle of honesty extends to issues of confidentiality of information. The ethical concern is to respect all \nobligations of confidentiality to all stakeholders unless discharged from such obligations by requirements of the law or other\nprinciples of this Code.<\/p>\n<p class=\"std-text\">20. All Board Members and Senior Management Personnel, therefore, shall maintain the confidentiality of \nall confidential unpublished information about Company\u2019s business and affairs. <\/p>\n<p class=\"std-text\"><strong>Pledge &amp; Practice<\/strong><br>\n21. To strive continuously to bring about integrity and transparency in all\nspheres of the activities.<\/p>\n<p class=\"std-text\">22. Work unstintingly for eradication of corruption in all spheres of life.<\/p>\n<p class=\"std-text\">23. Remain vigilant and work towards growth and reputation of the Company <\/p>\n<p class=\"std-text\">24. Bring pride to the organization and provide value based services to Company\u2019s stakeholders.<\/p>\n<p class=\"std-text\">25. Do duty conscientiously and without fear or favour.<\/p>\n<p class=\"std-text\"><strong>Live the Vision, Mission and Values of the Company \u2013 each day<\/strong><\/p>\n<p class=\"std-text\">\n26.- <strong>VISION<\/strong><br>\n\u2022 To promote genuine interest of jute growers in particular and the jute\neconomy at large.<br>\n\u2022 To be a leading player in jute economy through price stabilization effort.<br>\n\u2022 To establish the Company as a Quality leader in the raw jute trade.<\/p>\n<p class=\"std-text\">\n27 &#8211; <strong>MISSION<\/strong>\n\u2022 Implementation of the policy of the Govt. of India for providing Minimum Support Price (MSP) to the jute\/mesta growers of the country as well as\ndistribution of subsidized certified jute seeds for better quality and yield of jute.\n<br>\n\u2022 Serving as a price stabilising agency in the raw jute sector and taking necessary measures in this respect.<br>\n\u2022 Undertaking various schemes of Jute Technology Mission (MM III) for extending storing of jute, purchase &amp; sale thereof, training to jute growers\nfor adoption of new techniques relating to jute and various extension measures for implementation of different jute related projects.\n<\/p>\n<p class=\"std-text\">\n28 &#8211; <strong>VALUES<\/strong>\n\u2022 Zeal to Excel and Zest for change\n <br>\n\u2022 Integrity and Fairness in all matters<br>\n\u2022 Respect for Dignity and Potential of individuals<br>\n\u2022 Strict Adherence to Commitments<br>\n\u2022 Ensure Speed of Response<br>\n\u2022 Foster Learning, Creativity and Team-work<br>\n\u2022 Loyalty and Pride in the Company\n<\/p>\n<p class=\"std-text\">\n29. <strong>Strive to achieve the highest quality, effectiveness and dignity in both the processes and products of professional work<\/strong>\nExcellence is perhaps the most important obligation of a professional. Everyone, therefore, should strive to achieve the highest quality, effectiveness\nand dignity in their professional work.<\/p>\n<p class=\"std-text\">30.<strong> Acquire and maintain professional competence<\/strong>\nExcellence depends on individuals who take responsibility for acquiring and maintaining professional competence.
